Terms & Conditions

Last updated: 13 September 2026

1. General Provisions

These Terms & Conditions ("Terms") govern the relationship between SkyCode Ltd (СКАЙКОД ООД), company registration number (ЕИК) 831524230, registered at Sofia 1592, zh.k. Druzhba, bl. 67, apt. 8, Bulgaria ("Provider", "we", "us"), and the legal entities and individual traders who use the SkyInvoices platform at inv.skycode.com ("User", "you").

By creating an account, you confirm that you have read, understood, and accepted these Terms. The contract is concluded at the moment of successful registration.

These Terms are governed by Bulgarian law and applicable European Union legislation, including the Obligations and Contracts Act (ZZD), the Commercial Act (TZ), the Electronic Commerce Act (ZET), the Consumer Protection Act (ZZP), and Regulation (EU) 2016/679 (GDPR).

2. Service Description

SkyInvoices is a cloud-based platform for automated OCR processing and AI-powered data extraction from invoices, credit notes, and related accounting documents. The platform:

  • extracts, structures, and validates data from documents in various formats (PDF, images, etc.);
  • provides an interface for reviewing, correcting, and approving extracted data;
  • enables export to accounting formats (CSV, XML, JSON, etc.) and integration with third-party systems via API;
  • stores and archives processed documents in compliance with the Bulgarian Accounting Act.

All AI processing is performed exclusively on SkyCode Ltd's own infrastructure located in Bulgaria. Data from uploaded documents is never transmitted to OpenAI, Google, Microsoft, or any other foreign AI provider.

The platform is intended exclusively for business use (B2B). Individuals acting outside the scope of commercial activity may not register.

3. Registration and Account

3.1. You must provide accurate, complete, and up-to-date information during registration, including a valid Bulgarian company registration number (ЕИК/БУЛСТАТ).

3.2. You are solely responsible for the confidentiality of your password and all activities performed under your account.

3.3. In the event of a suspected security breach, you must notify us immediately at support@skycode.com.

3.4. A single account (tenant) may include multiple users with different roles (administrator / member).

4. Subscription Plans, Pricing and Payment

4.1. The service is offered under the following plans: Free, Starter, Business, and Enterprise. Current prices are published on the pricing page at inv.skycode.com.

4.1.a. The Free plan is limited to 6 months from the date of registration. After that period, document processing is automatically suspended. Re-registering under a different email or account name in order to extend the free period for the same company (identified by its EIK/BULSTAT registration number) is not permitted. By exception — for non-profit organisations, partners, or specific cases — the Provider may grant extended free access following an individual review upon written request.

4.2. All stated prices are inclusive of VAT at the applicable rate under the Bulgarian Value Added Tax Act (ZDDS).

4.3. Payment is collected in advance for a monthly or annual period via PayPal, Stripe, or bank transfer. We issue a compliant VAT invoice for every payment.

4.4. Annual subscriptions are offered at a discount, as published on the site.

4.5. We reserve the right to unilaterally change the prices, document limits, and feature set of any subscription plan — including adding, removing, or restructuring features — with 30 days' notice posted on the website and/or sent by email. Changes take effect at the start of your next billing period following the notice. No refunds are issued. If you do not agree, you may choose not to renew your subscription at the end of your current paid period.

4.6. Upon non-payment, the account may be temporarily suspended. Your data will be retained for up to 90 days after suspension, after which it may be permanently deleted.

5. Right of Withdrawal

In accordance with Article 16(a) of EU Directive 2011/83/EU (implemented in Bulgarian law via the Consumer Protection Act), the statutory right of withdrawal does not apply to services fully performed with the consumer's express consent before the 14-day withdrawal period expires.

By registering, you explicitly agree that the service begins immediately and acknowledge that you forfeit the right of withdrawal once the service has been fully performed. The Free plan may be cancelled at any time with no consequences, but cannot be renewed or re-activated for the same company after the 6-month trial period has elapsed.

6. Personal Data Processing (GDPR)

6.1. You are the Data Controller (Article 4(7) GDPR) for the personal data of your employees and counterparties contained in documents you upload.

6.2. SkyCode Ltd acts as a Data Processor (Article 4(8) GDPR) with respect to personal data contained in uploaded documents (names of suppliers, recipients, authorised persons, etc.).

6.3. We process such data only on your documented instructions (Article 28 GDPR). By accepting these Terms, you instruct us to process personal data solely to provide the service.

6.4. We implement appropriate technical and organisational security measures, including encryption, access controls, and regular backups.

6.5. AI document processing is carried out exclusively on SkyCode Ltd's own infrastructure in Bulgaria — no foreign AI providers are involved. Other sub-processors (payment processing, hosting) are listed in the Privacy Policy. You will be notified in advance of any changes to sub-processors.

6.6. Upon contract termination, we will delete or return all personal data within 30 days, unless longer retention is required by law.

6.7. Data subjects have the right of access, rectification, erasure, restriction, and portability under GDPR and the Bulgarian Personal Data Protection Act (ZZLD). Requests may be submitted to gdpr@skycode.com.

7. Intellectual Property

7.1. All rights in the SkyInvoices platform (source code, design, AI models, algorithms, trademarks) belong to SkyCode Ltd and are protected under the Bulgarian Copyright and Related Rights Act (ZAPSP) and applicable EU and international law.

7.2. You receive a limited, non-transferable, non-exclusive licence to use the platform solely for your own internal business purposes.

7.3. Data uploaded by you (invoices, documents) remains your exclusive property. We acquire no rights over it beyond what is necessary to provide the service.

8. Acceptable Use

You agree not to:

  • upload documents containing unlawful content or infringing third-party rights;
  • reverse-engineer, decompile, or disassemble the platform;
  • use the platform for spam, fraud, or any activity contrary to applicable law;
  • share account credentials with persons outside your organisation without our prior consent;
  • intentionally overload the infrastructure (DoS/DDoS attacks).
9. Limitation of Liability

9.1. We make reasonable efforts to ensure the accuracy of OCR/AI-extracted data, but we do not warrant error-free results. You are solely responsible for reviewing and approving each document before using it for accounting or tax purposes.

9.2. To the maximum extent permitted by applicable law, our total liability under or in connection with these Terms is limited to the amounts actually paid by you in the 12 months preceding the claim.

9.3. We are not liable for indirect, incidental, special, or punitive damages.

9.4. We are not liable for disruptions caused by force majeure events under Article 306 of the Bulgarian Commercial Act (natural disasters, third-party cyberattacks, regulatory prohibitions, etc.).

10. Service Level (SLA)

We target platform availability of 99.5% per calendar month, excluding scheduled maintenance. In the event of persistent downtime exceeding this target, you may request a proportional service credit.

11. Termination

11.1. You may cancel your subscription at any time from your account settings. Amounts already paid are non-refundable for the current period, except where a material defect in the service is established.

11.2. We may terminate this contract in the event of: (a) a material breach of these Terms; (b) non-payment for more than 30 days; (c) your insolvency or bankruptcy.

11.3. Upon termination, you may download your data within 30 days.

12. Changes to These Terms

We may update these Terms from time to time. For material changes, you will be notified by email or via an in-platform notice at least 30 days before the changes take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.
